Affiliate Agreement

This Affiliate Agreement (“Agreement”) sets the terms for your participation as an independent contractor (“Affiliate”) promoting Think Osem Sdn Bhd (“Think Osem”, “Company”) products and services, including Think Quran.

By applying for or continuing as an Affiliate, you agree to this Agreement together with the Policies & Procedures, the Compensation Plan, and the Code of Ethics (the “Program Documents”). Think Osem reserves the right to reject an application or immediately terminate any existing contract if it is determined that the particulars provided during enrolment is incorrect or invalid. The Company may amend the Program Documents by posting updates on its official site; continued participation constitutes acceptance.

1) Definitions

  • Affiliate: An independent contractor; not an employee, partner, franchisee, or agent of the Company, and has no authority to bind the Company.
  • APV (Affiliate Point Value): Points used to track performance, qualifications, and bonus eligibility.
  • TQ-Point: The Program’s internal earnings balance credited with Affiliate commissions/bonuses. TQ-Point may be used to:
    • Pay for eligible Think Quran products/services at face value
    • Be withdrawn to the Affiliate’s designated bank account, subject to identity verification and the Company’s Withdrawal Policy
    TQ-Point is not legal tender, does not earn interest, and cannot be used with third-party merchants. Balances may be adjusted for refunds, chargebacks, policy breaches, or corrections.
  • Active: An Affiliate who sells or donates at least one eligible product in a calendar month.
  • Dormant: An Affiliate with no sales or donations for six (6) consecutive calendar months.

2) Enrollment & Account

  • One account per individual/entity; non-transferable except by inheritance to a designated heir upon death.
  • No exclusive territories.
  • Keep login credentials secure; loss/misuse of digital products or account access is your responsibility.

3) Standards of Conduct

3.1 General

Affiliates must:

  • Be at least 18 years old and authorized to work in their state of residence.
  • Comply with laws and all Program Documents.
  • Represent products, pricing, and policies accurately; provide clear, honest explanations of how earnings work (sales-based, not recruitment-based).
  • Protect the Company’s reputation; act ethically and professionally.
  • Train and support any personally sponsored Affiliates.

3.2 Marketing & Promotion (includes Shariah compliance)

  • No overclaiming: Do not overstate or misrepresent product benefits or features.
  • No income guarantees: Do not make unrealistic, misleading, or “guaranteed income” claims.
  • Promotions must be truthful, professional, and aligned with official Company materials.
  • Prohibited imagery/conduct:
    • Showing cash stacks or luxury goods to imply earnings
    • Any non-Shariah-compliant content (e.g., nudity/indecent attire, sexually suggestive material, promotion of alcohol/gambling/riba, inappropriate music/language/symbols)
  • Only use Company-approved names, trademarks, copyrighted materials, and marketing assets.
  • Do not sell below published Company pricing.
  • Do not sell on third-party marketplaces (e.g., Shopee, Lazada, Amazon).
  • Do not use Company databases to promote unrelated products or services.
  • Do not market or describe TQ-Point as spendable with third-party merchants.

3.3 Fair Competition & Community Conduct

  • No spamming or unsolicited messaging; cease communications upon request.
  • No deceptive comparisons or denigration of competitors; comparisons must be factual and fair.
  • No “pinching” or cross-sponsoring recruits already committed to another sponsor.
  • No inducements to join unless expressly allowed in writing.
  • No recruitment or sponsorship of minors or persons unable to consent.
  • No misuse of Affiliate links; no sub-resellers/agents without prior written consent.
  • No unlawful acts (including malware distribution, fraud, criminal activity).

3.4 Non-Solicitation (Post-Termination)

For 12 months after termination, you must not solicit the Company’s existing customers to purchase from a competitor or join a competing affiliate/MLM program.

4) Compensation & Payment

  • Commissions/bonuses are paid only on eligible product sales/donations per the Compensation Plan; no payment for recruitment.
  • No guarantee of income; results vary by effort, compliance, and sales performance.
  • Product payments are non-refundable once activated, except as provided in the Cooling-Off policy.
  • TQ-Point handling:
    • Crediting of Earnings: All commissions/bonuses are first credited to the Affiliate’s TQ-Point balance.
    • Use of Balance: TQ-Point can be applied at checkout for eligible purchases or requested for bank withdrawal per the Withdrawal Policy.
    • Compliance & Holds: The Company may require KYC/AML verification before withdrawal and may place holds where fraud or policy violations are suspected.
    • Clarity: TQ-Point is not usable with third-party merchants.

5) APV Maintenance Policy

5.1 Active Status Benefits

  • Eligibility for monthly bonuses as set out in the Compensation Plan.
  • APV Carry-Forward Cap: Up to 200,000 APV may carry forward month-to-month.

5.2 Month-End APV Clearing

  • If Active: Any APV above 200,000 is cleared.
  • If Not Active: All APV is cleared except the largest leg, retained up to 5,000 APV.

5.3 Dormant Status

  • Dormant (6 months inactivity):
    • No APV accumulation or carry-forward.
    • No earnings/bonuses.
    • Reactivation: Sell or donate at least one Think Quran PLUS product; network restored.
  • Long-Term Dormant (≥ 3 years):
    • Product balances and TQ-Point balance reset to zero.
    • Reactivation: Sell or donate at least one Think Quran PLUS product (no restoration of reset balances).

6) Cooling-Off & Refunds

Cooling-Off Period: 10 days from the purchase date.

  • Refund requests must be submitted before the 10-day deadline.
  • Upon approval, the Company will terminate the account and refund eligible products, less any commissions paid and a 10% processing fee.
  • After Cooling-Off, payments are non-refundable.

7) Termination

7.1 By the Company

  • The Company may suspend or terminate for violations including fraud, overclaiming, policy breaches, or reputational harm.
  • Effects: Login disabled, Affiliate URL deactivated, same email/ID cannot be reused, username may be reassigned.

7.2 By the Affiliate

You may voluntarily terminate after at least 3 months from sign-up by submitting a request to the Company.

8) Intellectual Property & Materials

  • Use only Company-approved IP and marketing materials.
  • No unauthorized creation, publishing, or distribution of materials bearing Company IP.

9) Account Security & Digital Balances

Affiliates are responsible for safeguarding credentials. Report suspected compromise immediately.

10) Legal & Miscellaneous

  • Governing Law: Malaysia; Malaysian courts have exclusive jurisdiction unless otherwise required by law.
  • Remedies: The Company may seek damages and equitable relief for violations.
  • No Waiver: Failure to enforce is not a waiver.
  • Severability: Invalid provisions are severed; remainder remains enforceable.
  • Order of Precedence: Policies & Procedures → This Agreement → Compensation Plan → Code of Ethics → Website Terms.
  • Translations: English version prevails.
  • Program Balance Clarification: TQ-Point is not e-money; only usable within the Program or for bank withdrawal.

11) Acknowledgements

By enrolling or continuing participation, you confirm you are of legal age and authorized to agree to the Program Documents on your behalf or for your entity.

Appendix: Code of Ethics Highlights

  • Identify yourself, the Company, products, and purpose at the start of any presentation.
  • Give accurate, understandable answers; only make promises authorized in writing.
  • Use only current, Company-approved testimonials and literature.
  • Respect privacy; avoid intrusive contact; cease on request.
  • Do not exploit inexperience, language barriers, age, illness, or trust.
  • No referral-selling claims based on uncertain future events.
  • Provide accurate, verifiable business information; do not frame as “get-rich-quick.”
  • No additional participation fees unless expressly permitted in writing.
